ARBITRATION NOTICE: These Terms contain an arbitration agreement and class action waiver (Section 16). Unless you opt out as provided therein, disputes will be resolved through binding individual arbitration rather than in court.
These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "User") and Focus Tree SAS, a French société par actions simplifiée ("Focus Tree," "Company," "we," "us," or "our"). These Terms govern your access to and use of the Focus Tree mobile applications, websites, and all related services, features, content, and functionality (collectively, the "Services").
By creating an account, downloading our application, accessing our website, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms in the Services or by other means. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
The Services are intended for users aged 13 and older. By using the Services, you represent and warrant that you are at least 13 years of age. If you are under 13, you are not permitted to use the Services.
We implement age-screening mechanisms within our Services; however, we rely on users to provide accurate information regarding their age. We do not independently verify the age of our users.
Certain features of our Services are restricted to users of specific ages:
If we become aware that a user under the applicable age requirement is using restricted features, we reserve the right to suspend or terminate their access to those features.

You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that contain false or misleading information, or that we reasonably believe have been compromised.
You may only maintain one active account. We reserve the right to merge, suspend, or terminate duplicate accounts. Accounts are non-transferable except as expressly permitted by us in writing.
Some features of the Services are available for free, while others require a paid subscription or one-time purchase ("Premium Features"). We reserve the right to change which features are free or paid at any time.

You may have the opportunity to purchase virtual items, currency, or other content through in-app purchases. All in-app purchases are final and non-refundable, except as required by applicable law or as expressly stated otherwise.
Payments are processed through third-party payment processors (e.g., Apple App Store, Google Play Store, Stripe). Your purchase is subject to the terms and policies of the applicable payment processor. We are not responsible for any errors or issues arising from payment processing.
Except as required by applicable law, all purchases are final and non-refundable. If you believe you are entitled to a refund, you may contact us or the applicable app store. Refund requests are handled on a case-by-case basis at our sole discretion.
You are responsible for any applicable taxes associated with your use of the Services or purchases made through the Services, unless otherwise stated.
NO REAL-WORLD VALUE: Virtual Items and Virtual Currency have no real-world monetary value and cannot be redeemed for cash, goods, or services outside the Services, except as expressly permitted through Digital Asset Features for users aged 18 and older.
Virtual items, currency, rewards, garden elements, and other digital content ("Virtual Items") available through the Services are licensed, not sold, to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Virtual Items solely within the Services for your personal, non-commercial use.
You acknowledge that:
Unless expressly permitted through features we provide (such as an in-app marketplace or Digital Asset Features), you may not sell, trade, transfer, or exchange Virtual Items outside the Services, including through third-party websites or services. Any attempted transfer in violation of these Terms is void.
WARNING: DIGITAL ASSET FEATURES INVOLVE SIGNIFICANT RISKS, INCLUDING THE RISK OF TOTAL AND PERMANENT LOSS OF YOUR DIGITAL ASSETS. PLEASE READ THIS SECTION CAREFULLY BEFORE USING ANY DIGITAL ASSET FEATURES.

The inclusion of any digital asset in our Services does not constitute an endorsement or recommendation. You should consult qualified professionals before making any financial decisions. Any decisions you make regarding digital assets are made at your own risk.
YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH USING DIGITAL ASSET FEATURES. YOU AGREE THAT FOCUS TREE SHALL HAVE NO LIABILITY FOR ANY LOSSES ARISING FROM YOUR USE OF DIGITAL ASSET FEATURES, INCLUDING BUT NOT LIMITED TO LOSSES RESULTING FROM:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE FOCUS TREE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL LIABILITY ARISING FROM OR RELATED TO YOUR USE OF DIGITAL ASSET FEATURES.
Blockchain transactions may require payment of network fees ("gas fees"). You are solely responsible for all gas fees and transaction costs associated with your use of Digital Asset Features. We have no control over gas fees and are not responsible for any costs you incur.
Transactions conducted on blockchain networks are public and immutable. Information recorded on a blockchain, including wallet addresses and transaction history, is publicly accessible and cannot be deleted or modified by us or any party. By using Digital Asset Features, you consent to this public recording of your transactions.
"User Content" means any content you create, upload, submit, or transmit through the Services, including but not limited to flashcards, notes, profile information, garden designs, messages, and feedback.
By submitting User Content, you grant Focus Tree a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with operating and providing the Services, and in connection with our business operations, including for marketing and promotional purposes.

We reserve the right (but have no obligation) to monitor, review, and remove User Content at our sole discretion, for any reason or no reason, including content that we believe violates these Terms or is otherwise objectionable.
If you provide us with feedback, suggestions, or ideas regarding the Services ("Feedback"), you assign to us all rights in such Feedback and agree that we may use Feedback for any purpose without compensation or attribution to you.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.
The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio, video, software, code, and the design, selection, and arrangement thereof ("Company Content"), are owned by Focus Tree, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include the right to:
"Focus Tree," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Focus Tree or its affiliates. You may not use such marks without our prior written permission.

The Services may contain links to or integrate with third-party websites, applications, or services ("Third-Party Services"). We do not control Third-Party Services and are not responsible for their content, privacy practices, or terms of use. Your use of Third-Party Services is at your own risk and subject to the terms and policies of those services.

Your privacy is important to us. Our collection, use, and sharing of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you acknowledge and agree that we may collect, use, and share your information as described in our Privacy Policy, including sharing data with third-party partners for analytics, advertising, market research, and commercial purposes.
By creating an account, you consent to receive electronic communications from us, including emails, push notifications, and in-app messages. You may opt out of promotional communications as described in our Privacy Policy, but you may not opt out of transactional or service-related communications.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FOCUS TREE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
YOU USE THE SERVICES AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE SERVICES WILL HELP YOU ACHIEVE ANY PARTICULAR RESULTS, INCLUDING IMPROVED FOCUS, PRODUCTIVITY, OR ACADEMIC PERFORMANCE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOCUS TREE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, DIGITAL ASSETS, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THE FOREGOING, WE SHALL HAVE NO LIABILITY FOR ANY LOSSES ARISING FROM:
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED EUROS (€100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND REGARDLESS OF WHETHER ANY REMEDY PROVIDED HEREIN FAILS OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Focus Tree and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
You may terminate your account at any time by following the instructions in the Services or by contacting us. Upon termination, your right to use the Services will immediately cease.
We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without notice, including if we reasonably believe that:

Except as required by applicable law, termination of your account does not entitle you to any refund of subscription fees, in-app purchases, or the value of any Virtual Items or digital assets.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@focustree.app and attempt to resolve the dispute informally. Most disputes can be resolved this way. If we are unable to resolve the dispute within thirty (30) days, either party may proceed as set forth below.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
Arbitration shall be conducted by a single arbitrator in accordance with the rules of the International Chamber of Commerce (ICC) or another mutually agreed arbitration body. The arbitration shall be conducted in English, and the seat of arbitration shall be Paris, France. The arbitrator's decision shall be final and binding.
YOU AND FOCUS TREE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Unless both you and Focus Tree agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
You may opt out of this arbitration agreement by sending written notice to legal@focustree.app within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you may pursue claims in court.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. If arbitration is not enforceable or does not apply, you agree to submit to the exclusive jurisdiction of the courts located in Paris, France.
In connection with any merger, acquisition, reorganization, sale of assets, joint venture, assignment, transfer, financing, or other disposition of all or any portion of our business, assets, or stock (including in connection with any bankruptcy or similar proceedings), we may transfer, sell, or assign these Terms and any information we have collected, including personal information and User Content, to the relevant third party.
Such third party will assume the rights and obligations regarding your information and account as described in these Terms. By using the Services, you acknowledge and consent to such transfers. We will endeavor to notify you of any such transfer, but our failure to do so shall not affect the validity of the transfer.
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Focus Tree regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their respective successors and assigns.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Focus Tree. You have no authority to bind Focus Tree in any manner.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, labor disputes, power failures, internet or telecommunications failures, blockchain network issues, or failures of third-party infrastructure providers.
You agree to comply with all applicable export and import control laws and regulations in your use of the Services. You may not use the Services if you are located in a country subject to embargo or if you are on any prohibited party list.
These Terms are written in English. If these Terms are translated into another language for your convenience, the English version shall prevail in case of any conflict or inconsistency.
The section headings in these Terms are for convenience only and have no legal or contractual effect.
